1. About Us

Eternal Spring Institute is operated by IWKA Limited, a company incorporated in Hong Kong. In these Terms, “Eternal Spring Institute,” “we,” “us” and “our” refer to IWKA Limited operating under the Eternal Spring Institute name. Contact: info@eternalspringinstitute.com

2. Acceptance of These Terms

These Terms apply when you:

  • access or use our website;

  • create an account;

  • purchase products or digital content;

  • register for seminars, courses or events; or

  • use any other service offered by Eternal Spring Institute.

By placing an order or completing a registration, you confirm that you have read and accepted these Terms.

You must be at least 18 years old to make a purchase. Registrations or purchases for minors must be completed by a parent, legal guardian or authorised adult.

3. Orders and Event Registrations

All products, courses and event places are subject to availability.

Your order or registration is not confirmed until:

  • we have received the required payment; and

  • you have received an order or registration confirmation from us.

We reserve the right to reject or cancel an order where:

  • a product or event place is unavailable;

  • there is an obvious pricing or description error;

  • payment is not successfully completed;

  • we reasonably suspect fraud or misuse; or

  • we are unable to provide the relevant product or service.

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled item or service.

4. Prices and Payments

Prices are displayed in the currency shown at checkout.

Any applicable delivery charges, taxes or other fees will be displayed before the order is completed, where required.

Payments may be processed through third-party payment providers, including PayPal and Stripe. Your use of those services may also be subject to the payment provider’s own terms and privacy policy.

We do not normally receive or store your complete payment-card information.

5. Event Cancellations by Participants

Unless a different cancellation policy is clearly stated on the relevant event page, the following policy applies:

  • Cancellations received at least 60 calendar days before the event begins are eligible for a full refund of the event fee.

  • Cancellations received fewer than 60 calendar days before the event begins are non-refundable. However, the participant may request to transfer the amount paid as credit toward a future Eternal Spring Institute event.

  • Event credit is subject to availability, our written approval and any price difference between the original event and the replacement event.

  • Where the replacement event costs more, the participant must pay the difference. Where it costs less, the remaining credit will not normally be refunded unless we agree otherwise in writing.

  • Alternatively, a participant may request to transfer their registration to another person, subject to our prior written approval.

  • All event-credit and participant-transfer requests must be submitted before the original event begins.

  • Failure to attend without prior notice, late arrival or early departure does not qualify for a refund, credit or transfer.

  • Travel, accommodation, visa, insurance and other personal expenses remain the participant’s responsibility and are not refundable by us.

Event credit:

  • has no cash value;

  • may not be sold or transferred to another person without our approval;

  • must be used within the validity period stated when the credit is issued; and may be used only for events organised directly by Eternal Spring Institute unless we agree otherwise.

We may consider exceptional circumstances individually. Any discretionary refund, credit or transfer offered outside this policy does not create an obligation to offer the same arrangement in another case.

Nothing in this section limits any mandatory rights available under applicable consumer law. The usual 14-day withdrawal right may not apply to leisure services booked for a specific date or period, which can include dated seminars and events.

6. Event Changes or Cancellation by Us

We may make reasonable changes to an event where necessary, including changes to:

  • instructors;

  • timetable;

  • programme content;

  • venue; or

  • teaching format.

We will make reasonable efforts to notify registered participants of significant changes as soon as possible.

If we cancel an event and do not provide a suitable replacement or rescheduled date, participants will receive a refund of the event fee paid directly to us.

Unless required by applicable law, we are not responsible for independently booked travel, accommodation, visa, insurance or other related expenses. Participants are strongly encouraged to make flexible travel arrangements and obtain appropriate insurance.

7. Events Outside Our Control

We will not be responsible for delays, changes or cancellations caused by circumstances reasonably beyond our control, including:

  • severe weather or natural disasters;

  • illness or incapacity of an instructor;

  • transport disruption;

  • government restrictions;

  • strikes or industrial action;

  • public-health emergencies;

  • venue closure;

  • power, internet or infrastructure failure; or

  • other comparable events outside our reasonable control.

Where reasonably possible, we may reschedule the event, change the venue, provide an alternative teaching format or offer another appropriate solution.

Nothing in this section limits any refund or other remedy that must be provided under applicable law.

8. Participation, Health and Safety

Martial arts, movement, exercise and physical training involve an inherent risk of injury.

By participating, you confirm that:

  • you are responsible for deciding whether the activity is suitable for you;

  • you will follow reasonable safety instructions given by instructors;

  • you will inform the instructor of any relevant injury, health condition or physical limitation before participating;

  • you will use equipment responsibly; and

  • you will stop participating and seek assistance if you feel unwell or unsafe.

You should seek appropriate medical advice before participating if you have an injury, medical condition, pregnancy or any other concern that may affect your ability to train safely.

Participation is voluntary and at your own risk, but nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, wilful misconduct or any other liability that cannot lawfully be excluded.

9. Conduct at Events

Participants must behave respectfully toward instructors, staff, other participants, venue personnel and members of the public.

We may refuse admission or remove a participant from an event where the participant:

  • behaves abusively, threateningly or disruptively;

  • creates a safety risk;

  • deliberately damages property;

  • attends while seriously impaired by alcohol or drugs;

  • records restricted teaching without permission;

  • repeatedly refuses to follow reasonable instructions; or

  • otherwise seriously breaches these Terms.

A participant removed because of their own conduct will not normally be entitled to a refund or credit.

10. Photography and Recording at Events

We may take photographs or video recordings at events for documentation, education or promotional purposes.

Where required, we will seek appropriate permission or provide participants with a reasonable way to tell us that they do not wish to appear in identifiable promotional material.

Participants may not photograph, film, livestream or record restricted teaching sessions without prior permission.

Separate consent should be obtained before using identifiable images of children.

11. Physical Products

Physical products are subject to availability and our separate Shipping and Returns Policy, which forms part of these Terms.

Product images are provided for illustration. Minor variations in colour, texture, measurements, packaging or appearance may occur because of materials, manufacturing processes, photography and screen settings.

Nothing in these Terms limits mandatory consumer rights relating to faulty, damaged, unsafe or incorrectly supplied goods. EU consumer rules provide statutory remedies where goods do not conform to the contract.

12. Shipping and Delivery

Estimated delivery times are provided as guidance and are not guaranteed unless expressly stated.

The customer is responsible for providing a complete and accurate delivery address. We are not responsible for delays or losses caused by incorrect information supplied by the customer.

International orders may be subject to customs duties, import taxes or handling charges imposed by the destination country. Unless stated otherwise at checkout, these charges are the customer’s responsibility.

13. Consumer Withdrawal Rights

Where applicable, consumers purchasing eligible goods or services online may have a legal right to withdraw from the contract within 14 days.

The withdrawal period normally begins:

  • for goods, when the consumer or an authorised recipient receives the goods; and

  • for services, when the contract is concluded.

  • Exceptions may apply, including to:

  • leisure services provided on a specific date or during a specific period;

  • personalised or custom-made products;

  • sealed goods that are unsuitable for return for health or hygiene reasons after being unsealed; and

  • digital content supplied immediately after the customer has expressly requested immediate access and acknowledged the possible loss of the withdrawal right.

Applicable withdrawal and return arrangements will be explained in our Shipping and Returns Policy or during checkout.

14. Online Courses and Digital Content

Access to online courses, recordings, downloads and other digital materials is personal to the purchaser.

Unless otherwise stated at the time of purchase, purchasing digital content grants you a limited, personal, non-exclusive and non-transferable right to access and use the material for your own learning.

You may not:

  • share your login details;

  • allow another person to use your account;

  • copy or download content except where an authorised download is provided; record course videos or live online sessions without permission;

  • reproduce, publish or distribute course materials;

  • upload materials to another platform;

  • resell or sublicense access; or

  • use course materials for commercial teaching without written permission.

Where immediate access to digital content is provided during a statutory withdrawal period, we may ask you to expressly request immediate access and acknowledge that the withdrawal right may be lost once supply begins, where permitted by law.

15. Course Access and Content Updates

The duration of course access will be stated on the relevant sales page or at checkout.

Where a course is offered by subscription, access depends on continued and successful payment of the applicable subscription fee.

We may make reasonable changes to:

  • lesson order;

  • course presentation;

  • platform features;

  • supporting materials;

  • video quality or format; and

  • instructors or demonstrations.

Such changes will not materially reduce the essential content or purpose of the programme purchased.

Occasional interruptions may occur because of maintenance, technical issues, platform changes or circumstances outside our control. We will make reasonable efforts to restore access but do not guarantee uninterrupted availability at all times.

16. Subscriptions and Recurring Payments

Where a product or course is sold by subscription:

  • the billing frequency and price will be shown before purchase;

  • payments will recur until the subscription is cancelled or otherwise ends;

  • the customer is responsible for maintaining a valid payment method; and

  • access may be suspended where payment fails.

Cancellation stops future recurring charges but does not normally produce a refund for an already commenced billing period, unless required by law or stated otherwise in the applicable offer.

Cancelling a subscription does not necessarily provide permanent access to content released during the subscription period.

Any special access, pause, resumption or legacy arrangement confirmed individually in writing will take precedence over this general section.

17. User Accounts

You are responsible for:

  • providing accurate and current information;

  • keeping your password confidential;

  • preventing unauthorised use of your account; and

  • informing us promptly if you believe your account has been compromised.

Accounts and course access may not be shared.

We may suspend or terminate access where a user:

  • shares login details;

  • copies or distributes protected content;

  • acts fraudulently;

  • abuses another participant, instructor or member of staff;

  • attempts to compromise our website or platform;

  • repeatedly fails to make required payments; or

  • materially breaches these Terms.

Where reasonably possible, we will notify the user and allow an opportunity to correct the breach before permanent termination, except in serious or urgent cases.

18. Intellectual Property

Unless otherwise stated, all website content, branding and course materials are owned by or licensed to IWKA Limited.

This includes:

  • videos and recordings;

  • photographs;

  • written lessons and manuals;

  • graphics and illustrations;

  • logos and trademarks;

  • course structures;

  • downloadable materials;

  • training systems; and

  • website design and text.

You may use purchased materials only for your own personal, non-commercial learning.

Without prior written permission, you may not:

  • copy or reproduce our materials;

  • distribute or publicly display them;

  • record restricted teaching;

  • sell, sublicense or commercially exploit them;

  • remove copyright or ownership notices; or

  • use our names, logos or branding in a way that suggests authorisation, certification or affiliation.

19. Website Use

You must not use our website or services:

  • unlawfully or fraudulently;

  • to damage, overload or disrupt the website;

  • to introduce viruses or malicious software;

  • to attempt unauthorised access;

  • to collect information about other users without permission;

  • to impersonate another person;

  • to harass, threaten or abuse others; or

  • to infringe intellectual-property, privacy or other legal rights.

We may restrict or block access where reasonably necessary to protect our services, users or legal rights.

20. Third-Party Services and Links

Our website may contain links to or integrations with third-party services, including:

  • payment providers;

  • learning platforms;

  • video-hosting services;

  • booking providers;

  • delivery companies; and

  • external websites.

We are not responsible for the availability, content or independent practices of third-party services. Their use may be governed by their own terms and privacy policies.

21. Information and Training Disclaimer

Website articles, course descriptions, videos and training materials are provided for educational purposes.

They are not a substitute for personalised medical, legal, financial or other regulated professional advice.

Results from martial arts, exercise or educational programmes vary between individuals. We do not guarantee any particular physical result, grade, certification, professional opportunity or level of performance unless expressly stated in writing.

22. Limitation of Liability

We do not exclude or limit liability where doing so would be unlawful.

To the fullest extent permitted by law, we are not responsible for:

  • losses that were not reasonably foreseeable when the contract was formed;

  • losses caused by inaccurate or incomplete information supplied by the customer;

  • losses caused by events outside our reasonable control;

  • independently arranged travel, accommodation, visa or related expenses;

  • loss arising from misuse of our products or materials;

  • temporary technical interruptions; or

  • business losses suffered by a person purchasing wholly or mainly for commercial purposes.

Nothing in these Terms excludes or limits liability for:

  • fraud or fraudulent misrepresentation;

  • wilful misconduct;

  • death or personal injury caused by negligence; or

  • any other liability that cannot legally be excluded.

Nothing in these Terms affects mandatory consumer rights. Consumer contract terms must be fair, transparent and understandable and cannot remove protections granted by mandatory law.

23. Privacy

We process personal information in accordance with our Privacy Policy and applicable data-protection law.

We will aim to review and respond within a reasonable period.

25. Governing Law and Disbutes

These Terms and any contract between you and IWKA Limited, operating as Eternal Spring Institute, are governed by the laws of the Hong Kong Special Administrative Region.

If you are purchasing as a consumer, this choice of law does not deprive you of any mandatory consumer protections available under the laws of the country in which you habitually reside.

We encourage you to contact us first at info@eternalspringinstitute.com so that we can try to resolve any dispute informally.

Any dispute may be brought before a court that has jurisdiction under applicable law. Nothing in these Terms limits any right a consumer may have to bring proceedings before the courts of their country of residence.

26. Severability

If any part of these Terms is found to be unlawful, invalid or unenforceable, that provision will be applied to the greatest extent legally permitted or removed where necessary. The remaining provisions will continue in effect.

27. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later. Any waiver must be confirmed by us in writing.

28. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, business practices or legal obligations. T

he version applicable to a purchase or event registration will normally be the version in effect when the purchase or registration was completed, unless:

  • a change is required by law;

  • the change benefits the customer; or

  • the customer expressly agrees to the updated provision.

The latest version will be published on this website with an updated revision date.
